Coin Laundry Official Rules

NO PURCHASE OR PAYMENT NECESSARY TO PARTICIPATE OR WIN.

OPEN ONLY TO INDIVIDUALS WHO ARE AT LEAST 18 YEARS OLD (OR THE LOCAL AGE OF MAJORITY IN THEIR JURISDICTION OF RESIDENCE, IF HIGHER THAN 18). ALL NATIONAL, FEDERAL, STATE, PROVINCIAL, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

1. Overview

Sponsor: Pattern Engine, Inc., 901 Brodie Ln Ste 160 PMB 7026 Austin, TX 78748 ("Sponsor") is the sponsor of the Coin Laundry promotion whereby Eligible Participants (defined below) may mint digital tokens (the "Promotion"). The Promotion is an experimental art project comprising digital tokens that are ephemeral in nature and have no intended retail, resale, or other value. There is no cost to mint the digital tokens to be generated as part of this Promotion ("Promotion NFTs"); Sponsor will pay gas fees associated with minting the offered Promotion NFTs. The minting of the Promotion NFTs and this Promotion shall be governed by the Shape Terms of Service found at https://bubbles.art/terms ("Terms"), which are hereby incorporated by this reference with the same force and effect as though fully set forth herein. For the purposes of this Promotion, you agree that Sponsor shall be treated as a party to the Terms and all references to Shape Factory, Inc. under the Terms shall include Sponsor, including without limitation, the Arbitration Agreement contained in Section 15 of the Terms. In the event that any provision of the terms and conditions set forth herein ("Promotion Terms") conflict with any provision of the Terms, the provision of these Promotion Terms shall control. The Promotion Terms and the Terms are collectively referred to as the "Official Rules."

2. Minting Period

The Promotion entry period begins at 11:00 a.m. Eastern Time on December 3, 2025, and ends at 6:00 p.m. Eastern Time on December 7, 2025 (the "Minting Period"). Sponsor's computer is the official time keeping device for the Promotion.

3. Eligibility

The Promotion is available only to those who (a) are 18 or older (or of legal age in their home jurisdiction if higher than 18) at the time of participation and (b) are not a Restricted Person (defined below) ("Eligible Participants"). "Restricted Persons" include residents of Cuba, Iran, North Korea, Quebec, Russia, Syria, the Crimea, Donetsk, and Luhansk regions of the Ukraine, or any other jurisdiction where the Promotion is restricted or prohibited by law; any individual declared a "Specially Designated National" by the U.S. Department of the Treasury Office of Foreign Assets Control (OFAC), on the U.S. Department of Commerce's Denied Persons List, or otherwise designated on any list of prohibited or restricted parties maintained by the United Nations Security Council or the U.S. Government.

4. How to Participate

NO PURCHASE OR PAYMENT IS NECESSARY to Participate. You may participate in one of two ways:

4.1. Claim Codes

Eligible Participants may receive claim codes ("Claim Codes") during the Minting Period that allow Eligible Participants to mint Promotion NFTs. Claim Codes will be physically distributed at Coin Laundry booths located in and around the Art Basel exhibition in Miami, FL contemporaneously with the Minting Period. For a list of all Coin Laundry booth locations, please see bubbles.art/locations. Each Claim Code permits an Eligible Participant to mint one or more Promotion NFTs, subject to a cap -- standard Claim Codes will permit Eligible Participants to mint one hundred (100) Promotion NFTs; special Claim Codes could permit Eligible Participants to mint either two hundred fifty (250) Promotion NFTs or one thousand five hundred (1,500) Promotion NFTs, depending on the Claim Code. The cap will be revealed when you visit the Promotion Website and enter your Claim Code.

The number of Claim Codes available per day and per location are limited. Claim Codes are provided on a "first come, first served" basis. During the Minting Period, Sponsor will distribute a maximum of:

During the Minting Period, Eligible Participants who receive a Claim Code must navigate to the Promotion website located at https://bubbles.art ("Promotion Website") and provide their Claim Code and either an email address or a digital wallet address that has not previously been associated with a Claim Code or the minting of Promotion NFTs. Claim Codes may only be used one time. If an Eligible Participant provides an email address at the time of minting, Sponsor will automatically generate a digital wallet associated with that email address to receive and custody the Eligible Participant's Promotion NFTs.

4.2. Eligible Online Communities

Eligible Participants who control a digital wallet that was linked to a specified NFT community or custodied certain digital tokens from a specified collection on a time certain on December 1, 2025, as determined by Sponsor in its sole discretion ("Eligible Community Wallet" and "Eligible Community Participants," respectively), will have the opportunity to mint ten (10) Promotion NFTs per Eligible Community Wallet during the Minting Period ("Community Promotion"). To determine whether a digital wallet is an Eligible Digital Wallet, please see bubbles.art/allowlist (the "Allowlist"). Your digital wallet must be on the Allowlist to be an Eligible Community Wallet and for you to be an Eligible Community Participant. Promotion NFTs are provided to Eligible Community Participants through the Community Promotion on a "first come, first served" basis. To mint Promotion NFTs, Eligible Community Participants must navigate to the Promotion Website and connect their Eligible Community Wallet address during the Minting Period. Eligible Community Participants cannot mint Promotion NFTs through the Community Promotion if the Eligible Community Wallet has already been associated with the minting of Promotion NFTs.

Each email and digital wallet address may only be used to mint Promotion NFTs once, either through a single Claim Code or through the Community Promotion.

Eligible Participants who mint and/or subsequently custody Promotion NFTs as part of the Promotion are "Bubble Holders." By participating in this Promotion and/or minting (or subsequently custodying) Promotion NFTs, Bubble Holders agree to comply with these Official Rules, including the Terms, and the decisions of Sponsor, which are final and binding in all respects relating to the Promotion. The Promotion is subject to all applicable laws and regulations and is void where prohibited.

5. Promotion Mechanics; Odds

The maximum number of Promotion NFTs available for minting is ten million (10,000,000). Each day during the period beginning December 8, 2025, and ending on December 3, 2035, a random number of Promotion NFTs will be permanently removed from the applicable Bubble Holders' digital wallets and "popped" (i.e., removed from their wallet without their interaction), until a single Promotion NFT remains ("Last Bubble Standing"). Each Promotion NFT has an equal chance of being the Last Bubble Standing. The odds that any single Promotion NFT will become the Last Bubble Standing are approximately 1 in 10,000,000.

6. Prize

The prize is the Last Bubble Standing ("Prize"). The Promotion NFTs, including the Prize, have no retail value, and are not intended to have any monetary value.

7. No Prize Notification

Users, including any Bubble Holder, can view the total number of Promotion NFTs that remain unpopped at any time by visiting the Promotion Website. Bubble Holders may also provide their digital wallet address or email address used to initially enter the Promotion to view the quantity of such Bubble Holder's Promotion NFTs in their possession that remain unpopped. Sponsor will not contact the holder of the Last Bubble Standing; it is each Bubble Holder's responsibility to monitor their Promotion NFTs and to determine whether the Last Bubble Standing is among their Promotion NFTs.

8. Promotion NFTs - Licensed Not Owned

Bubble Holders acknowledge and agree that the Promotion NFTs are digital assets that embody or include certain third-party intellectual property ("Artwork"). The Artwork may not be stored or embedded in the Promotion NFTs, but is accessible through the Promotion NFTs. The Artwork embodied by the Promotion NFTs is made available through a CC0 1.0 Universal license and not transferred or sold to Bubble Holders. Bubble Holders acknowledge and agree that the CC0 1.0 Universal license they receive in and to such Artwork is automatically and always transferred with the Promotion NFT.

9. Disclaimers

EACH BUBBLE HOLDER HEREBY ACKNOWLEDGES AND AGREES THAT THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING, ARE INTANGIBLE DIGITAL ASSETS THAT EXIST ONLY BY VIRTUE OF THE OWNERSHIP RECORD MAINTAINED IN THE SUPPORTING BLOCKCHAIN, AND THAT THE PROMOTION PARTIES (DEFINED BELOW) CANNOT AND DO NOT GUARANTEE THAT THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING, WILL HAVE OR RETAIN ANY INHERENT VALUE OR THAT ANY BUBBLE HOLDER WILL BE ABLE TO MONETIZE THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING, IN ANY WAY. THE PROMOTION IS AN EXPERIMENTAL ART PROJECT; THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING HAVE NO RETAIL, RESALE, OR OTHER VALUE.

EACH BUBBLE HOLDER AGREES THAT THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING, ARE PROVIDED "AS IS," AND EACH BUBBLE HOLDER HEREBY ACKNOWLEDGES THAT THE PROMOTION PARTIES HAVE NOT MADE AND ARE NOT IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PROMOTION OR THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING. THE PROMOTION PARTIES HEREBY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

EACH BUBBLE HOLDER ACKNOWLEDGES AND AGREES THAT THE PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING, ARE NOT INTENDED TO HAVE ANY INHERENT VALUE. THE LEGAL AND REGULATORY REGIME GOVERNING DIGITAL ASSETS, INCLUDING THE PROMOTION NFTS, IS EVOLVING, AND NEW REGULATIONS OR POLICIES MAY MATERIALLY ADVERSELY AFFECT A PARTY'S RIGHTS IN RESPECT OF OR ANY ABILITY TO USE SUCH PROMOTION NFTS, INCLUDING THE LAST BUBBLE STANDING.

"Promotion Parties" means collectively, (a) the Sponsor, its parents, subsidiaries, and affiliated companies; (b) any marketing agencies and other parties involved in the administration, development, advertising, promotion, or operation of the Promotion; (c) XCOPY; and (d) Nguyen Wahed Gallery.

10. Taxes

To the extent allowed by applicable law, all taxes imposed in connection with the Promotion are solely the responsibility of each individual or entity on whom or on which any such tax is imposed.

11. Limitation of Liability; Release; Indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT (A) THE PROMOTION PARTIES SHALL NOT BE RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES ARISING OUT OF OR CONNECTED WITH (I) THE PROMOTION OR (II) ANY PROMOTION NFTS, AND (B) YOUR REMEDIES FOR ANY CLAIMS RELATING TO THE PROMOTION ARE LIMITED TO YOUR ACTUAL, VERIFIABLE OUT-OF-POCKET EXPENSES INCURRED IN CONNECTION WITH YOUR PARTICIPATION IN THE PROMOTION (IF ANY).

The Promotion Parties assume no liability and are not responsible for, and by entering the Promotion you hereby waive and release the Promotion Parties as well as MCH Group Ltd. and all the MCH Group Ltd. companies affiliated to MCH Group Ltd., including the subsidiaries of MCH Group Ltd. which own and operate the global "Art Basel" art show, from any actions, claims, damages, losses or injuries of any kind (collectively "Claims") arising in connection with the Promotion and/or the receipt, use or misuse of any Promotion NFTs, including, without limitation, Claims relating to:

In the event of any ambiguity or error(s) in these Official Rules, Sponsor reserves the right to clarify or modify these Official Rules however it deems appropriate to correct any such ambiguity or error(s). If due to an error or for any other reason, more legitimate requests to mint Promotion NFTs are received than the numbers stated in these Official Rules or more than one (1) Last Bubble Standing remains following the expiration of the Promotion, Sponsor reserves the right to mint only ten million (10,000,000) Promotion NFTs (with a maximum of 787,500 Promotion NFTs originating outside the Community Promotion) and to effect only one (1) Last Bubble Standing. In no event will more than the stated number of Promotion NFTs (i.e. 10,000,000 Promotion NFTs) be minted or one (1) Last Bubble Standing remain upon expiration of the Promotion.

ANY ATTEMPT BY AN INDIVIDUAL OR ENTITY, WHETHER OR NOT AN BUBBLE HOLDER, TO UNDERMINE THE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL OTHER REMEDIES AGAINST ANY SUCH INDIVIDUAL OR ENTITY TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor may prohibit an Eligible Participant from participating in the Promotion or minting any Promotion NFTs and/or may remove Promotion NFTs from digital wallets, in Sponsor's sole discretion, for any reason or for no reason, without liability, including in the event that Sponsor determines such Eligible Participant to be attempting to undermine the operation of the Promotion.

For California Residents Only: You hereby waive California Civil Code Section 1542, which states, "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

12. Sponsor's Reservation of Rights

If the Promotion cannot be operated as planned for any reason, including, without limitation, due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, government orders, natural disasters, the effects of any pandemic or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Promotion, Sponsor reserves the right, at its sole discretion, to modify, suspend, or cancel the Promotion.

13. Governing Law

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules and the rights and obligations of Eligible Participants or Sponsor, shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules, and, subject to the Arbitration Agreement found in the Terms, any disputes will be subject to the exclusive jurisdiction of the courts of San Francisco County, CA. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall remain enforceable.

14. Privacy Notice

Personal information collected during the Promotion may be collected, used, and/or disclosed by Sponsor and its affiliates and their representatives for any lawful purpose, including, without limitation, for purposes of advertising and promoting Sponsor and/or the Promotion and the administration of the Promotion and as otherwise described in Sponsor's privacy policy, currently available at https://deca.art/privacy and Shape Factory, Inc.'s privacy policy, https://shape.network/privacy.
